You sell in your own name. Keep it that way.
Some companies cannot hand over seller-of-record, and should not have to. Direct runs the whole commercial machine — contracts, billing, collection, e-invoicing, revenue data — while your entity stays the seller on every invoice. It is not a smaller version of Merchant of Record. It is a different allocation of liability, chosen deliberately.
What stays yours
This is the part legal review actually asks about, so it goes first. Nothing in this list moves to Lernaura.
Your entity on the invoice
Every document is issued under your legal entity, your address, your branding and your footer.
Your VAT number
Invoices carry your registration, not ours.
Your VAT returns and liability
The registrations, filings and tax liability remain yours. We calculate and render the VAT on your documents; the obligation does not move.
Your receivables
You own the debt. An unpaid invoice is your asset and stays on your balance sheet.
Your numbering series
Sequential, auditable, under your entity — with corrections and credit notes resolving to the document they derive from.
Your customer relationship
Dunning goes out under your sender domain. Your customers stay your customers.
Two ways to run Direct
The entity, the VAT number and the receivables stay yours either way. What differs is how your customers pay.
Direct with Payments
Card acceptance is part of what Lernaura supplies: one onboarding, one release schedule, one settlement statement. Card funds settle into your own acquirer-held balance; Lernaura instructs routing and release timing and never holds your money.
Your entityOur machinery
Direct Self-Collect
Your customers pay your invoices straight into your own bank account. Lernaura issues the invoices under your entity, runs the reminders and keeps the commercial record.
Your entityYour IBAN
Mix them by product, market or customer, and move to or from Merchant of Record without rebuilding — the commercial record stays in place. How the operating models compare
What Lernaura runs
Everything between signing a contract and recognising the revenue from it.
Contracts
The commercial agreement is modelled, not implied: terms, price changes, renewals, pauses and cancellations, with the contract as the system of record.
Subscriptions and billing
Proration, mid-term changes, per-seat and usage components, trials, credits and one-off charges.
Collection and dunning
Retries, escalation and branded reminders, on cards and on invoices alike.
E-invoicing
Peppol, NemHandel and OIOUBL are built in, not a connector you buy separately.
Revenue data and audit
Recognition, deferred revenue, MRR movement and period close — the same engine and the same records as Merchant of Record, in your own ledger book.
Card acceptance supplied, not assembled
Most of the field asks you to bring your own acquirer. Here card acceptance is part of what you buy: one onboarding, one release schedule, one settlement statement. The funds settle into your own acquirer-held balance throughout — Lernaura instructs the routing and the release timing, and never takes custody of your money.
Local collection rails
Leverandørservice today, with Nordic analogues to follow. A Danish B2B customer expects to be collected the way Danish B2B is collected, and no international competitor offers that. This is the part of the stack that is genuinely hard to copy from outside the region.
Sovereign by construction
EU-owned infrastructure end to end, with no hyperscaler in the core data path. That argument does not change with the settlement mode — it is a property of the stack, not of who is the seller.
How it compares
The subscription-management field is crowded and we are not going to pretend otherwise. Where we are genuinely different is contract-to-cash in one system, card acceptance supplied rather than assembled, local collection rails, and e-invoicing that is built in. Side-by-side comparisons against the field are being written; until each figure is verified against the vendor with a date on it, we would rather publish nothing than publish a number we have not checked.
Talk to us
Direct is priced individually, so it starts with a conversation rather than a sign-up. The contact form asks the questions we would ask on a call, which usually saves the call.
